References to Vogele IT-Services in version 1.0 of this Agreement, or in License Certificates issued before that date, are to be read as references to BRIFS GmbH. This End-User License Agreement ('Agreement') is a legal agreement between you ('Licensee') and BRIFS GmbH ('Licensor') governing the use of the TRSuite software ('Software'). By installing or using the Software, Licensee agrees to be bound by this Agreement. 1. Definitions 'Software' means TRSuite (formerly IDEaSy), including documentation and any updates or third-party components. 'User' means an individual authorized by Licensee to use the Software. 'License Certificate' means the document defining the scope and type of license granted. 2. License Grant Licensor grants Licensee a non-exclusive, non-transferable license to install and use the Software in accordance with the License Certificate. Each User requires a valid license. A licensed User may install and use the Software on multiple devices, provided the Software is not used by more than one individual simultaneously. Licenses may be reassigned within the same legal entity if a User leaves or changes roles. 3. Evaluation License An evaluation license may be granted for a limited period (typically 21 days). Evaluation use is restricted to internal testing purposes and may not be used for productive or commercial purposes. 4. Restrictions Licensee shall not: * reverse engineer, decompile, or modify the Software * distribute, sublicense, or make the Software available to third parties * circumvent license control mechanisms * remove or alter proprietary notices 5. Ownership The Software is licensed, not sold. All intellectual property rights remain with Licensor. 6. Use and Responsibility The Software is installed and operated on Licensee’s own systems. Licensee is solely responsible for: * the accuracy, completeness, and legality of all data processed using the Software * compliance with applicable tax, regulatory, and reporting requirements The Software is a technical tool and does not constitute legal, tax, or accounting advice. 7. Maintenance and Updates Licensor may, at its sole discretion, provide updates, enhancements, or new versions of the Software. Unless otherwise agreed in writing, Licensor is under no obligation to provide maintenance, support, or updates. 8. Audit Licensor may, upon reasonable notice, request confirmation from Licensee that the use of the Software complies with the licensed number of Users. Licensee agrees to provide such confirmation in good faith. 9. Disclaimer of Warranty To the extent permitted by law, the Software is provided 'as is' without warranties of any kind, whether express or implied. 10. Limitation of Liability To the extent permitted by law, Licensor shall not be liable for indirect, incidental, or consequential damages, including loss of data, profits, or business opportunities. Licensor’s total liability under this Agreement shall not exceed the amount paid by Licensee for the Software. 11. Term and Termination This Agreement remains in effect until terminated. Licensee may terminate it at any time by ceasing use of the Software and deleting all copies. Licensor may terminate this Agreement in the event of a material breach not remedied within thirty (30) days after written notice. Upon termination, Licensee must cease all use of the Software and delete all copies. 12. Governing Law This Agreement shall be governed by the laws of Switzerland. Jurisdiction shall be the competent courts of Switzerland. 13. Entire Agreement This Agreement, together with the License Certificate, constitutes the entire agreement between the parties. 14. Third-Party Software The Software may include third-party components subject to separate license terms. 15. Reservation of Rights All rights not expressly granted are reserved by Licensor. 16. Versioning and Availability of Prior Versions 16.1 Each version of this Agreement carries a version number and an effective date, stated at the head of the document. 16.2 Licensor reserves the right to issue updated versions of this Agreement for future releases of the Software. The version in force at the time Licensee purchased or installed a given release of the Software shall continue to apply to that release, and is not altered by the subsequent publication of a newer version. 16.3 Where Licensee installs a new release of the Software, the version of this Agreement in force at the date of that release shall apply to it, as accepted upon installation. 16.4 The current version of this Agreement is published at https://www.section11.ch/EULA.txt, and each version is additionally available at a stable version-specific address (https://www.section11.ch/EULA_v1.2.txt and equivalent). Superseded versions are retained by Licensor and remain available to Licensee on request. The version history at the head of this Agreement records the period during which each version was in force.
